🗳️ DAO Vote Summary: Acquisition of FrugFrens by Divergent Club

📌 Proposal Overview:

Divergent Club proposes to acquire and manage the FrugFrens NFT project at no cost of acquisition, with Divergent Club Team taking on strategic management and project revival efforts, while Cuget remains on the team to sign-off on key decisions. The acquisition includes treasury assets, collection IP, and Project management responsibilities.

🌟 Goals of Acquisition:

· Return FrugFrens to their baseline offering, build upon this and reposition FrugFrens under Divergent Club in the Project X ecosystem.

· Reward both legacy and Divergent holders via raffles, distributions, and integrations.

📦 What’s Included:

FrugFrens core collection (soon-to-be reduced to 2000-2500 NFTs)
Treasury assets (NFTs and tokens) - to remain for the benefit of their associated honorary collections - Project F / FRC
The core EGLD treasury will remain in control of FrugFrens with Cuget / Offheadharry / LuckyBirdLabs and used for the FrugFrens project but if joint ventures can be done with Divergent Club for product integration of both collections - we can discuss using treasury funds from both sides where applicable.
Cuget joins the Divergent Club DAO Team which is worth $1.000.000 in my eyes.

🤝 Agreements & Conditions:

· No compensation or treasury share is requested by @GrandFrug or @Cuget.

· Cuget retains joint-control over the FrugFrens project.

· DAO multisig (xsafe) signers would include: Offheadharry, Cuget and LuckyBirdLabs (a registered entity), with 2-of-3 signatures required. GrandFrug will be removed from signees until if/when he returns.

· A salary may be proposed for Cuget in the future (paid via Project X’s DNA salary set-up) and we can vote on mint allocations to Cuget as artist. Cuget to receive 10% of Project F remaining mint (as insisted by Offheadharry for the artwork creation).

· GrandFrug will step away from the project but will be welcome back if he chooses to return later.

· 10% of future mint proceeds and royalties (Project F onwards) to be sent to the Divergent Club DAO Treasury for management responsibilities and support.

📈 Planned Activation Flow (Post-Vote Approval):

1. Distributions of FrugFrens to maiarpepe sweepers (50–100 NFTs), frugly egg holders (limited raffle) (previous promises) and to Divergent Club and Project X holders (1 per wallet - may be limited to X amount and raffled depending on impact of above).

2. Bidding event: Holders may exchange eligible NFTs (FrugFrens, FRC, Project F) for the best art in the treasury. Burn mechanism follows.

3. Burndown: FrugFrens collection size capped at 2,000-2,500; excess held in treasury for potential future mint.

4. Future Utility: Each FrugFren guarantees a spot in any future fractional collection.

5. Complete overdue Project F distribution.

6. Project F Mint Reopen at 0.04 for treasury growth and not to undermine FP.

7. Potential Royalties Exchange / Closed project distribution for FRC collection via Rug Royalties if BRC end up refunding their treasury to BRC holders.

8. Royalties Review: Proposed split among Cuget, Divergent Club, treasury, buy/burn efforts, and core collections.

9. Consideration for Honorary Collections: Owl City, Pittz, Buddies (already made) etc.

10. Staking Migration: Shift FrugFrens Core collection to in-wallet staking with DNA rewards (XOXNO staking as interim).
